Synergy Sports CMS Service Agreement
Last updated: October 10, 2026
This Service Agreement (the "Agreement") explains how a club can use Synergy Sports CMS. It is written in plain language where possible. Please read it before signing up, especially Section 6 (Payment Default; Automatic Cancellation; No Refund) and Section 18 (Dispute Resolution; Binding Arbitration; Class Action Waiver), which affect your rights.
1. Parties and Acceptance
1.1 Who this Agreement is between. This Agreement is between Synergy Sports CMS, Synergy Sports Management, [ADDRESS] ("Provider"), and the youth sports club or organization that signs up for the Services (the "Club" or "Customer"). Provider and Customer are each a "party" and together the "parties."
1.2 Who can accept. This Agreement must be accepted by Customer's director, billing contact, or another person with authority to sign for Customer. By accepting, that person confirms they are authorized to bind Customer to this Agreement.
1.3 How Customer accepts. Customer accepts this Agreement when its representative clicks "I agree" (or a similar button) at purchase or during onboarding, or when Customer first uses the Services, whichever happens first. If Customer does not agree, it may not use the Services.
1.4 Order details. Customer's plan, pricing, and any additional terms shown at purchase or in a written order form (an "Order") are part of this Agreement. If an Order conflicts with this Agreement, the Order controls for that specific point, except that an Order does not override Section 6 or Section 18 unless it expressly says so.
2. Services Provided
2.1 What Provider provides. Synergy Sports CMS is a software platform for youth sports clubs. Depending on Customer's plan, the Services may include:
- Club websites: tools to build and manage Customer's public website;
- Registration: online forms for player and program registration;
- Payments: collecting registration fees and other payments through Stripe;
- Director desks: administrative dashboards for club directors and staff;
- Synergy HQ phone app: the mobile app for club staff, members, and families; and
- Recruiting tools: tools that help clubs and athletes manage recruiting information.
(Together, the "Services.")
2.2 License. While this Agreement is in effect and Customer's account is paid in full, Provider grants Customer a non-exclusive, non-transferable right to use the Services for Customer's own club operations, subject to this Agreement.
2.3 Updates. Provider regularly improves the Services and may add, change, or remove features. If Provider removes a core feature Customer is paying for in a way that materially reduces the Services, Provider will give Customer reasonable notice.
2.4 Third-party services. Some features rely on third parties (for example, Stripe for payments, and app stores for the Synergy HQ app). Customer's use of those third-party services may be subject to their own terms. Provider is not responsible for third-party services it does not control.
3. Accounts and Authorized Contacts
3.1 Customer's account. Customer must provide accurate account information and keep it up to date. Customer is responsible for all activity under its account, including activity by staff, coaches, and volunteers it gives access to.
3.2 Authorized Contacts. Customer will name a club director and a billing contact (the "Authorized Contacts"). Only Authorized Contacts may contact Provider's support. Provider may decline to respond to anyone else and may verify a person's identity before acting on a request.
3.3 Families are supported by the Club. Parents, guardians, players, and other families who use Customer's website, registration, or the Synergy HQ app are supported by Customer, not by Provider. Customer agrees to handle their questions, refund requests, and complaints. If a family member contacts Provider, Provider may refer them back to Customer.
3.4 Security. Customer must keep passwords and login details confidential and promptly notify Provider at support@synergysportscms.com of any suspected unauthorized access to its account.
3.5 Changing contacts. Customer may change its Authorized Contacts by notifying Provider from a current Authorized Contact's account or email address.
4. Fees, Billing and Renewal
4.1 Pricing. Customer agrees to pay the fees for its plan as shown at purchase or in its Order. Plans may be a flat subscription, priced per athlete, or a combination. For per-athlete pricing, athletes are counted as described at purchase, and fees may adjust as Customer's athlete count changes.
4.2 Billing. Fees are billed in advance for each billing period (for example, monthly or annually) unless the Order says otherwise. Provider processes subscription payments through Stripe. Customer authorizes Provider to charge Customer's payment method on file for all fees when due.
4.3 Automatic renewal. Customer's subscription renews automatically at the end of each term for the same length of term, unless Customer cancels before the renewal date as described in Section 7.
4.4 Price changes. Provider may change prices for future terms and will give Customer at least 30 days' notice before a price change takes effect at the next renewal.
4.5 Taxes. Fees do not include taxes. Customer is responsible for any sales, use, or similar taxes that apply to its purchase, other than taxes on Provider's income.
4.6 Late or failed payments. Payment is due on the due date. If any undisputed amount is not paid when due, Section 6 applies, including automatic termination or suspension without notice or opportunity to cure. Customer should raise any billing question with Provider's support at support@synergysportscms.com before the due date and before contacting a bank or card issuer.
5. Payment Processing for Club Registrations
5.1 Customer is the merchant. When Customer collects registration fees or other payments from families through the Services, those payments are processed through Stripe Connect. Customer is the merchant of record, not Provider. Customer is responsible for its prices, refunds to families, receipts, and any disputes or chargebacks raised by families on payments made to Customer. (Section 6 covers payments Customer makes to Provider for the Services.)
5.2 Stripe's terms apply. To accept payments, Customer must create and maintain a Stripe account and agree to Stripe's terms, including the Stripe Connected Account Agreement. Stripe, not Provider, processes and holds those funds. Stripe may set its own requirements, fees, holds, and payout schedules.
5.3 Platform fees. Provider may charge platform or transaction fees on registration payments. Any such fees will be disclosed at purchase, in the Order, or in Customer's account settings, and may be deducted automatically from transactions through Stripe.
5.4 Not a bank. Provider is not a bank, money transmitter, or payment processor and does not hold Customer's funds.
6. Payment Default; Automatic Cancellation; No Refund
If Customer fails to pay any undisputed amount when due, or if Customer (or any person using Customer's payment method) initiates a chargeback, dispute, or reversal of any payment for the Services, then:
- Customer's access to and use of the Services (including Synergy Sports CMS) shall automatically terminate or be suspended immediately, without notice or opportunity to cure, and
- Customer shall not be entitled to any refund, credit, or return of any amounts previously paid for the Services, subscription period, or related fees, regardless of the remaining time in any billing cycle.
Provider may also pursue collection of any unpaid amounts, chargeback fees, and related costs. Automatic cancellation under this section does not limit Provider's other rights or remedies, and any dispute arising from or relating to non-payment, a chargeback, or cancellation under this section remains subject to the arbitration clause below.
7. Refunds and Cancellation
7.1 How to cancel. Customer may cancel its subscription at any time by contacting support@synergysportscms.com from an Authorized Contact, or through its account settings if available. Cancellation by Customer takes effect at the end of the current term, and Customer keeps access until then.
7.2 No refunds. Fees are non-refundable, and Provider does not give refunds or credits for partial periods or unused features, unless required by applicable law or stated in an Order. This section is subject to Section 6: in any case of payment default, chargeback, dispute, or reversal, Section 6 controls and no refund, credit, or return of amounts paid will be issued.
7.3 Before cancelling. Customer should export any data it wants to keep. See Section 9.5.
8. Customer Responsibilities
Customer agrees to:
8.1 Content. Be responsible for all content Customer or its users post or upload to the Services (text, photos, videos, logos, schedules, and so on), and make sure it has the rights to use that content.
8.2 Accurate data. Keep the information it enters (rosters, fees, schedules, contact details) accurate and current.
8.3 Consent and waivers for minors. Obtain all required parental or guardian consent before collecting, using, or sharing information about minors through the Services, and obtain any waivers, releases, and medical or photo permissions Customer requires. Provider does not collect these on Customer's behalf unless Customer configures the Services to do so, and even then, the content and legal adequacy of Customer's forms are Customer's responsibility.
8.4 Governing-body compliance. Follow the rules of any league, association, or governing body Customer belongs to (for example, eligibility, background check, and safe-sport requirements), as well as applicable laws.
8.5 Family support. Provide support to its families, including help with registration, payments, refunds, and app access, as described in Section 3.3.
9. Data and Privacy
9.1 Customer owns its data. All data Customer or its users submit to the Services ("Customer Data") belongs to Customer.
9.2 How Provider uses Customer Data. Customer permits Provider to host, store, process, and display Customer Data only as needed to provide, maintain, secure, and improve the Services, to provide support, and as required by law. Provider does not sell Customer Data. Provider may use aggregated, de-identified data that does not identify Customer or any individual to understand and improve the Services.
9.3 Minors' data and COPPA. The Services may be used to process information about children, including children under 13. Customer is responsible for obtaining verifiable parental consent where required by the Children's Online Privacy Protection Act (COPPA) and other applicable laws, before that information is collected through the Services. Provider processes children's data on Customer's behalf and under Customer's direction, solely to provide the Services.
9.4 Security. Provider uses reasonable administrative, technical, and physical safeguards to protect Customer Data. No system is perfectly secure. If Provider learns of a security incident affecting Customer Data, it will notify Customer without undue delay and as required by law.
9.5 Export after the Agreement ends. After this Agreement ends for any reason, Customer may request an export of its Customer Data within 30 days. After that 30-day period, Provider may delete Customer Data, except where it must be retained by law or remains in routine backups for a limited time. Access to export does not restore access to the Services or create any right to a refund.
9.6 Privacy Policy. Provider's Privacy Policy at https://synergysportscms.com/privacy/ describes how Provider handles personal information in more detail.
10. Acceptable Use
Customer and its users must not:
- break any law or regulation, or use the Services for illegal or fraudulent activity;
- post content that is harassing, hateful, sexually explicit, violent, or harmful to minors;
- infringe anyone's intellectual property or privacy rights;
- upload viruses or malicious code, or try to gain unauthorized access to the Services or other accounts;
- interfere with or overload the Services, or scrape or copy them by automated means without permission;
- reverse engineer, resell, or sublicense the Services, or use them to build a competing product; or
- send spam or unsolicited messages through the Services.
Provider may remove content or suspend access that violates this section. Where reasonable, Provider will notify Customer first.
11. Uptime and Support
11.1 Availability. Provider uses reasonable efforts to keep the Services available and working properly but does not guarantee uninterrupted or error-free service. Provider may perform scheduled maintenance and will try to do so at low-use times.
11.2 No SLA unless agreed. There is no specific uptime commitment or service level agreement (SLA) unless one is agreed in writing in an Order.
11.3 Support. Support is available to Authorized Contacts through Provider's helpdesk at support@synergysportscms.com. Provider will respond within a reasonable time during normal business hours.
12. Intellectual Property
12.1 Provider's property. Provider owns the Services, including the software, the Synergy HQ app, designs, templates, and trademarks, and all improvements to them. This Agreement does not transfer any ownership to Customer.
12.2 Customer's property. Customer keeps ownership of its Customer Data, logos, and content. Customer permits Provider to use Customer's name and logo to display Customer's website and content through the Services.
12.3 Feedback. If Customer gives Provider suggestions or feedback, Provider may use them freely without obligation to Customer.
12.4 Customer references. Provider will not use Customer's name or logo in its marketing without Customer's permission.
13. Warranties Disclaimer
The Services are provided "as is" and "as available." To the fullest extent allowed by law, Provider disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Provider does not promise that the Services will meet every need, be error-free, or that all data will be preserved without loss. Provider does not provide legal, tax, or compliance advice.
14. Limitation of Liability
14.1 Cap. To the fullest extent allowed by law, each party's total liability arising out of or relating to this Agreement is limited to the fees Customer paid to Provider in the 12 months before the event giving rise to the claim.
14.2 No indirect damages. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if told such damages were possible.
14.3 Exceptions. These limits do not apply to Customer's payment obligations (including amounts owed under Section 6), either party's indemnification obligations, or liability that cannot be limited by law.
15. Indemnification
15.1 By Customer. Customer will defend and indemnify Provider and its officers, employees, and contractors against third-party claims, and related losses and reasonable legal fees, arising from: (a) Customer Data or Customer's content; (b) Customer's failure to obtain required consents, waivers, or permissions; (c) Customer's payment transactions with families, including refunds and disputes; (d) Customer's violation of this Agreement or the law; or (e) Customer's programs and activities.
15.2 By Provider. Provider will defend and indemnify Customer against third-party claims that the Services, as provided by Provider, infringe that third party's U.S. intellectual property rights. This does not apply to claims caused by Customer's content, Customer's modifications, or Customer's combination of the Services with anything Provider did not provide.
15.3 Process. The party seeking indemnity must notify the other promptly, allow it to control the defense, and reasonably cooperate. No settlement that admits fault for the indemnified party may be made without its consent. Any dispute between the parties about indemnification is subject to Section 18.
16. Term and Termination
16.1 Term. This Agreement starts when Customer accepts it and continues as long as Customer has an active subscription, including renewals.
16.2 Termination for breach. Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within 30 days after written notice. This notice-and-cure period does not apply to payment default, chargebacks, disputes, or reversals, which are governed by Section 6 and result in automatic termination or suspension without notice or opportunity to cure.
16.3 Suspension. Provider may suspend the Services immediately if needed to prevent harm to the Services, other users, or minors, or for serious violations of Section 10, and as provided in Section 6.
16.4 Effect of termination. When this Agreement ends for any reason, Customer's right to use the Services stops and all unpaid fees become immediately due. No refund, credit, or pro-rated amount is owed except as stated in Section 7.2, and never in a case governed by Section 6. Section 9.5 applies to Customer Data.
16.5 Survival. Sections that by their nature should survive termination will survive, including Sections 4 (as to amounts owed), 6, 7.2, 9, 12 through 15, 18, and 19.
17. Changes to the Agreement
Provider may update this Agreement from time to time. If Provider makes material changes, it will notify Authorized Contacts by email or in the Services at least 30 days before the changes take effect. The updated Agreement applies from Customer's next renewal or the effective date stated in the notice. If Customer does not agree, it may cancel under Section 7 before the changes take effect. Continued use after that date means Customer accepts the changes.
18. Dispute Resolution; Binding Arbitration; Class Action Waiver
1. Agreement to Arbitrate.
Any dispute, claim, or controversy arising out of or relating to this Agreement, the Services (including Synergy Sports CMS), the relationship between the parties, or the breach, termination, enforcement, interpretation, or validity of this Agreement (including any dispute concerning non-payment, chargebacks, automatic cancellation, or refunds, and including the determination of the scope or applicability of this agreement to arbitrate), shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, except as modified by this clause. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, and evidences a transaction involving interstate commerce. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
2. Delegation.
The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of it is void or voidable. The parties acknowledge that this delegation provision is a severable agreement that may be enforced independently.
3. Class, Collective, and Representative Action Waiver.
All claims must be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, private attorney general, or similar proceeding. The arbitrator shall have no authority to consolidate claims of different parties, conduct any form of class or representative proceeding, or make an award to any person or entity not a party to the arbitration. The parties expressly waive any right to bring, maintain, or participate in any class, collective, or representative action in any forum.
If a court of competent jurisdiction determines that this class action waiver is unenforceable as to a particular claim, then that claim shall be severed and may proceed only in court (and not in arbitration), and the remainder of this arbitration agreement (including the agreement to arbitrate all other claims on an individual basis) shall remain in full force and effect. In no event shall any claim proceed as a class or representative arbitration.
4. Procedure and Logistics.
- The arbitration shall be conducted by a single arbitrator.
- The seat (legal place) of the arbitration shall be Hillsborough County, Florida. Hearings may be conducted remotely or in person as the arbitrator directs, consistent with AAA rules.
- The arbitrator shall apply Florida law (without regard to conflict-of-laws principles), except that the FAA governs the interpretation and enforcement of this arbitration agreement.
- Each party shall bear its own attorneys' fees and costs, and the parties shall share equally the AAA administrative fees and arbitrator compensation, unless the arbitrator awards otherwise under applicable law or the AAA rules. The arbitrator may award any remedy available under applicable law (including injunctive relief) on an individual basis.
- The arbitration and any award shall be confidential, except as required to enforce the award or by law.
5. Exceptions / Carve-Outs.
Notwithstanding the foregoing:
(a) Either party may bring an individual action in small-claims court for claims within that court's jurisdiction, provided it is not asserted as a class or representative action; and
(b) Either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights, confidential information, or trade secrets, or to prevent unauthorized access or use of the Services, without first arbitrating.
6. Waiver of Jury Trial.
THE PARTIES HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE SUBJECT TO THIS CLAUSE.
7. Survival and Miscellaneous.
This clause survives termination of the Agreement. If any portion of this clause (other than the class action waiver in the manner described above) is held unenforceable, the remainder shall be enforced to the maximum extent permitted by law.
19. Governing Law, Venue and General Terms
19.1 Governing law. This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 18.
19.2 Venue for court proceedings. For any matter permitted to proceed in court under Section 18 (including small-claims actions, claims for injunctive or equitable relief, claims severed under Section 18.3, and actions to confirm or enforce an arbitration award), the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida, to the extent such courts have jurisdiction, except that judgment on an arbitration award may be entered in any court of competent jurisdiction.
19.3 Billing questions first. Customer should raise billing questions with Provider's support at support@synergysportscms.com before contacting a bank or card issuer. See Section 6.
19.4 General. This Agreement (with any Order) is the entire agreement between the parties on this subject. If any part is found unenforceable, the rest stays in effect (and Section 18.7 governs severability within Section 18). Customer may not assign this Agreement without Provider's consent, except to a successor organization of the Club. Provider may assign it in connection with a merger, acquisition, or sale of its business. Neither party is responsible for delays caused by events beyond its reasonable control. Failure to enforce a term is not a waiver.
